ABOUT SAINT LAURENT: Founded in 1961, Yves Saint Laurent was the first couture house to introduce the concept of luxury prêt-à-porter in a 1966 collection called ‘Rive Gauche’, synonymous with youth and freedom. This shift represented a first critical step in the modernization of fashion and revolutionized the sociocultural landscape. In 1999, the luxury goods division of the Kering Group acquired Yves Saint Laurent and, under the creative direction of Anthony Vaccarello since April 2016, continues to position the house at the summit of the luxury universe. Job Description
PURPOSE OF THE POSITION: A Company Secretary will contribute actively to the company success and business achievement.
MISSIONS & RESPONSIBILITIES
- To report to the Board about compliance with the provisions of the Act and the Rules framed thereunder and other laws applicable to the Company
- To ensure that the Company complies with the applicable secretarial standards
- To provide to the Directors of the Company, collectively and individually, such guidance as they may require, with regard to their duties, responsibilities and powers
- To facilitate the convening of meetings and attend Board, committee and general meetings and maintain the minutes of these meetings
- To obtain approvals from the Board, shareholders, the Government and such other authorities as required under the provisions of the Indian Companies Act
- To represent the Company before various regulators, and other authorities under the Act in connection with discharge of various duties under the Act
- To assist the Board in the conduct of the affairs of the Company
- To assist and advise the Board in ensuring good corporate governance and complying with the corporate governance requirements and best practices
- To discharge such other duties as have been specified under the Act or Rules framed thereunder, and such other duties as may be assigned by the Board from time to time
- To attend general meetings (Operations, Merchandising, IT), take comprehensive notes, and distribute follow-up recaps outlining action items to all concerned parties
- To coordinate the booking of meeting facilities, flights, and other logistics for internal general meetings, business reviews, training sessions, management visits, and recruitment sessions
- To organize arrangements for external partner meetings, including booking facilities and managing logistics
- To prepare draft letters and communications for various purposes, such as HR matters, legal correspondence, and other administrative tasks
