Job Title: Company Secretary – Legal & Compliance (Manufacturing)
Location: Mumbai
Department: Legal & Corporate Affairs
Reports To: Chief of Staff
Experience: 5–7 years
Budget : 5-7 LPA but not limited to Right candidate
Qualification:
- Qualified Company Secretary (CS) – ICSI
- LLB or LLM from a recognized university
- Additional certifications in IPR, corporate law, or compliance (preferred)
Job Purpose
To ensure the company adheres to all statutory and regulatory requirements while supporting legal, compliance, and intellectual property functions. The incumbent will play a key role in managing corporate governance, secretarial duties, and legal compliances for a manufacturing business environment.
Key Responsibilities
Corporate Secretarial Functions
- Ensure compliance with Companies Act, 2013 and other applicable corporate laws.
- Conduct Board and Committee meetings, AGMs, and EGMs; prepare notices, agendas, and minutes.
- Maintain statutory registers and filings with MCA (ROC, MGT, AOC, etc.).
- Draft and vet Board resolutions and ensure proper governance processes.
Legal & Compliance Management
- Monitor compliance with applicable laws, rules, and regulations for the company and its manufacturing operations.
- Liaise with legal counsel for litigation, contract management, and dispute resolution.
- Conduct legal risk assessment for ongoing and new projects.
- Review commercial contracts, vendor agreements, NDAs, MOUs, etc.
Licensing & Regulatory Approvals
- Manage and renew industrial licenses, factory registrations, pollution control board approvals, and other statutory approvals relevant to manufacturing.
- Coordinate with government and regulatory authorities to ensure smooth licensing procedures.
Intellectual Property (IPR) Management
- Handle filing, prosecution, and renewal of patents, trademarks, and copyrights.
- Coordinate with IP attorneys and R&D teams to protect the company’s innovations and brand assets.
- Maintain an IP register and monitor infringement or misuse.
- Patents and Trademark registration and tracking
Policy & Documentation
- Develop and implement internal policies and processes to ensure regulatory compliance.
- Keep abreast of changes in laws and advise management on potential impact.
- Provide training and support to departments on legal and compliance matters.
Key Skills and Competencies
- Strong understanding of corporate, commercial, and IP law.
- Excellent drafting and communication skills.
- Experience working in or with manufacturing companies.
- High attention to detail and ability to work independently.
- Strong interpersonal and stakeholder management skills.
Preferred Industry Experience
- Manufacturing (printing, packaging, automotive, pharmaceuticals, chemicals, heavy industries, or similar sectors).
