Responsibilities of a CS:
1. Statutory Compliance & Company Law Matters
· Ensuring compliance with the Companies Act, 2013.
· Maintaining statutory registers (Register of Members, Directors, Charges, etc.).
· Preparing and filing ROC forms (e.g., DIR-12, MGT-7, AOC-4).
· Organizing board meetings, drafting notices, agendas, and minutes.
· Annual Return filing and compliance under MCA portal.
2. Board & General Meeting Support
· Drafting Board Resolutions and Minutes.
· Convening Annual General Meetings (AGM) / Extraordinary General Meetings (EGM).
· Ensuring proper quorum and compliance with meeting procedures.
3. Share Capital & Securities Management
· Issuance and allotment of shares.
· Handling share transfers/transmissions.
· Share Certificate issuance and related documentation.
· Maintenance of Share Register and other related records.
**4. Private Placement of Shares
· Drafting of Private Placement Offer Letter (PAS-4).
· Filing of Form PAS-3 with ROC.
· Maintaining records of offer and allotment.
· Ensuring compliance with Section 42 of the Companies Act.
5. Foreign Investment Compliance
· Filing of FC-GPR (Foreign Currency-Gross Provisional Return) for allotment of shares to foreign investors (with RBI through FIRMS portal).
· Filing of FC-TRS (Foreign Currency-Transfer of Shares) for transfer of shares between resident and non-resident entities.
· Coordinating with Authorised Dealer (AD) Banks for foreign remittance and RBI compliance.
· Monitoring sectoral caps and FDI regulations under FEMA.
6. Regulatory Filings & Documentation
· Filing of forms with MCA (e.g., SH-7, MGT-14, CHG-1, etc.).
· Coordination with auditors for annual filings and audit support.
· Maintaining compliance calendar.
